Terms of Service

Please read these terms carefully before using Whatpilot. They govern your use of our platform.

1. Acceptance of Terms

By accessing or using Whatpilot's services, website, or Shopify application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("Merchant", "you") and Whatpilot ("Company", "we", "us"). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

Whatpilot provides a WhatsApp automation platform that integrates with Shopify stores to:

  • Send automated WhatsApp messages triggered by Shopify order events
  • Manage customer contacts and opt-out preferences
  • Provide analytics and reporting on message delivery and performance
  • Enable manual broadcast campaigns to customer lists

The Service requires a Shopify store and a WhatsApp-enabled phone number. Whatpilot is not affiliated with WhatsApp Inc. or Meta Platforms, Inc.

3. Account Registration

To use Whatpilot, you must:

  • Have an active Shopify store
  • Install the Whatpilot app from the Shopify App Store
  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials
  • Be at least 18 years of age

You are responsible for all activity that occurs under your account. Notify us immediately at whatpoilt1@gmail.com if you suspect unauthorized access.

4. Acceptable Use Policy

You agree to use Whatpilot only for lawful purposes and in accordance with these Terms. You must not:

  • Send spam, unsolicited messages, or messages to people who have not given you their phone number through a legitimate transaction
  • Send messages containing illegal content, hate speech, threats, pornography, or content that violates WhatsApp's Terms of Service
  • Use the Service to harass, abuse, or harm individuals
  • Attempt to circumvent WhatsApp's anti-spam systems
  • Use the Service to impersonate another person or company
  • Resell or white-label the Service without our written permission
  • Reverse engineer, decompile, or attempt to extract the source code of our software
  • Use automated tools to scrape, crawl, or extract data from our platform
  • Exceed usage limits or attempt to bypass message caps through multiple accounts

Violation of these rules may result in immediate account suspension without refund.

5. WhatsApp Compliance

You acknowledge and agree that:

  • You are responsible for complying with WhatsApp's Terms of Service and Community Standards
  • You will only send messages to customers who have provided their phone number through a legitimate order or opt-in process
  • You will honor all opt-out requests immediately (Whatpilot handles this automatically)
  • Whatpilot cannot guarantee that your WhatsApp account will not be restricted by WhatsApp for reasons outside our control
  • We are not responsible for any WhatsApp account suspension or ban resulting from your messaging practices

6. Subscription & Billing

6.1 Plans and Pricing

Whatpilot offers monthly and annual subscription plans as described on our Pricing page. Prices are in USD and subject to change with 30 days' notice.

6.2 Free Trial

New accounts receive a 14-day free trial with full access to all features in the selected plan. No credit card is required to start a trial. At the end of the trial, the account is automatically downgraded to a free/limited tier unless you subscribe.

6.3 Payment

Subscription fees are billed in advance on a monthly or annual basis. All payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

6.4 Refunds

We do not offer refunds for partial months or years of service. If you cancel, your subscription remains active until the end of the current billing period. Exceptions may be made at our sole discretion for service outages or technical failures on our part.

6.5 Overages

If you reach your monthly message limit, automations will pause until the next billing cycle. You will receive an email notification at 80% and 100% of your limit. You can upgrade your plan at any time to continue sending.

7. Intellectual Property

Whatpilot and its original content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

You retain ownership of all message content, templates, and customer data you create or upload. By using Whatpilot, you grant us a limited license to process and transmit this content solely for the purpose of providing the Service.

8. Third-Party Services

Whatpilot integrates with third-party services including Shopify and WhatsApp. These services have their own terms and privacy policies, and you agree to comply with them. We are not responsible for the availability, accuracy, or content of third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Warranties of merchantability and fitness for a particular purpose
  • Guarantees that the service will be uninterrupted, error-free, or secure
  • Guarantees regarding delivery rates, open rates, or revenue outcomes
  • Warranties that the service will meet your specific requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHATPILOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business
  • Loss of data or goodwill
  • WhatsApp account suspension or restriction
  • Failed message deliveries

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Whatpilot and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of WhatsApp's terms or applicable laws; or (d) your messaging practices.

12. Termination

Either party may terminate the agreement at any time. You may cancel by uninstalling the Shopify app. We may suspend or terminate your account immediately if you violate these Terms, engage in spam, or fail to pay.

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy retention schedule.

13. Changes to Terms

We may update these Terms at any time. We will provide at least 14 days' notice of material changes via email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which Whatpilot is incorporated, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction.
